Your New Chapter:

The VetPartners Legal team is growing, with an opportunity for a Legal Counsel to work closely with the Group General Counsel on a variety of legal, regulatory, company secretarial and corporate governance matters across Australia, New Zealand, and Singapore.

This is an exceptional opportunity for a mid-level commercial lawyer seeking an in-house role with scope to contribute to the operations of an in-house legal team, in a growth company in the animal care industry, backed by a supportive executive leadership team.

About you

The right candidate is someone who has at least 7 years PQE, with in house or significant secondment experience, looking for a role that provides autonomy and a busy workload of general commercial matters.  To succeed in this role, you must have strong contract drafting skills.  Experience or a strong understanding of corporate transactions and M&A will be favourably viewed.  You will also have an ability to think on your feet, actively attend to matters, take initiative, critically think, provide effective, commercial solutions, thrive in an environment where you can work autonomously and deal with a range of stakeholders, including the Executive team, and above all have a strong ‘can-do’ attitude.

About your new role

The Legal Counsel will play an active role in a broad range of issues within the business, working closely with various stakeholders across all business functions as a pivotal member of a highly visible legal team.

Reporting to the Group General Counsel, responsibilities will include drafting and settling a broad range of contracts (NDAs, supplier agreements, business terms and conditions and IT contracts), business acquisitions (including legal due diligence), share restructuring (negotiating shareholders and share sale agreements), competition and consumer laws (reviewing customer-facing collateral), privacy, advising on disputes, reinforcing legal compliance programs and in conjunction with external counsel, advice on employment law and property and leasing.

What are we looking for?

It is essential that our Legal Counsel:

  • Has qualifications in law from an Australian or New Zealand university and a practising certificate.
  • Has at least 7 years PQE with significant in house or secondment experience in commercial contracts (including procurement and suppliers) and preferably M&A.
  • Has strong contract drafting skills and experience.
  • Has knowledge of competition and consumer, privacy, and data protection laws.
  • Has experience with, or a strong understanding of, company secretarial practices and procedures and corporate governance.
  • Can manage a high demand workload, understand, and balance risk and provide clear, simple and to the point advice to others in the business.
  • Strong awareness of legal risks and commercial drivers with demonstrated ability to communicate complex legal issues in a clear, concise, and practical manner.
  • Has a pragmatic approach with the ability to take ownership and provide strong judgement.
  • Proven experience advising stakeholders on commercial contracts and legal risk.
  • Ability to apply a legal framework to emerging legislative and regulatory changes.
  • Confidence, flexibility, and ability to take a proactive and organised approach to work.
  • Has an ability to adapt quickly to changing priorities.
  • Has a strong eye for detail – getting the small things right the first time.

Our Legal Counsel may also have:

  • Previous experience in the healthcare industry preferred but not essential.
  • Experience or exposure to legal matters in New Zealand and/or Singapore.
